                     Powerchip Internet Authorized User Agreement 

      Customer having registered Powerchip internet access account for conducting electronic data interchange or transaction between Applicant's company and Powerchip, in consideration of accessing and securing Powerchip internet and corresponding confidential information ("Confidential Information"), hereby agrees as follows:

      1.The Applicant shall protect Powerchip issued User ID and Confidential Information by using a reasonable degree of care.  Unless obtained Powerchip's prior written consent, the Applicant shall not disclose, disseminate, or make accessible User ID or Confidential Information in any way to any third party.

      2.Powerchip shall set the original password of User ID("Password"), the Applicant shall reset the password every three months.  Upon Applicant's personal leave or work rotation, the Applicant shall immediately notify Powerchip of such event in order to secure Confidential Information.    

      3.In case that User ID or Password is incorporated into interface software ("Software"),  Applicant shall secure Software and prevent unauthorized party from obtaining or awareness of User ID or Password to access Software.

      4.The Applicant warrants to restrict from using Powerchip issued User ID to download or transmit any Powerchip internet information unrelated to the business between the parties.

      5.The Applicant warrants to restrict from using Powerchip issued User ID to disseminate virus or other destructive software. 

      6.The Applicant shall protect the confidentiality of any information obtained from User ID.  In case of breach of this obligation, the Applicant acknowledges that he/she and his/her Company shall be liable and be deemed breach this confidential obligation.

      7.In case of breach any provision of this Agreement by the Applicant, Powerchip may immediately terminate the Applicant's right to use User ID and Password, which shall not be otherwise objected by the Applicant, and the Applicant shall compensate for any damages incurred to Powerchip.  In case of said breach by the Applicant, the Applicant acknowledges that his/her Company shall be jointly and severally responsible for the damages incurred by Powerchip.
